These Terms of Service ("Terms") govern your access to and use of the Stellaris Group website and services. By accessing or using our services, you agree to be bound by these Terms. If you do not agree, please do not use our services.

1. Services Overview

Stellaris Group provides enterprise workforce solutions, including staffing, recruitment, and talent acquisition services. Our services connect qualified candidates with client companies seeking to fill various positions including, but not limited to, sales development, customer success, administrative support, executive assistance, marketing operations, and partnership management roles.

2. Eligibility

You must be at least 18 years of age and capable of forming a binding contract to use our services. By using our services, you represent and warrant that you meet these eligibility requirements.

3. Client Terms

3.1 Service Engagement

Client engagements are governed by separate Service Agreements that outline specific terms, fees, and conditions. These Terms of Service supplement but do not replace any executed Service Agreement.

3.2 Candidate Placement

Clients agree to:

• Provide accurate job descriptions and requirements
• Conduct interviews and hiring processes in a lawful, non-discriminatory manner
• Pay all agreed-upon fees in accordance with the Service Agreement
• Not directly solicit or hire candidates presented by Stellaris Group outside of our engagement without prior written consent

3.3 Fees and Payment

Placement fees, payment terms, and guarantee periods are specified in individual Service Agreements. Failure to pay fees when due may result in suspension of services and collection actions.

4. Candidate Terms

4.1 Information Accuracy

Candidates agree to provide accurate, complete, and current information including:

• Employment history and references
• Educational qualifications and certifications
• Skills and competencies
• Work authorization status

Providing false or misleading information may result in termination of candidacy and disqualification from future opportunities.

4.2 Representation

By submitting your information, you authorize Stellaris Group to:

• Present your qualifications to prospective employers
• Conduct background checks and verify references (with your consent)
• Retain your information for future opportunities
• Contact you regarding relevant positions

4.3 No Employment Guarantee

Stellaris Group does not guarantee employment or placement. Our role is to connect qualified candidates with opportunities; hiring decisions are made solely by client companies.

5. Intellectual Property

All content on our website, including text, graphics, logos, images, and software, is the property of Stellaris Group or its licensors and is protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written consent.

6. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information disclosed during the course of our engagement. This includes, but is not limited to:

• Candidate personal information and qualifications
• Client company information and job requirements
• Fee structures and commercial terms
• Business processes and methodologies

7. Prohibited Conduct

You agree not to:

• Use our services for any unlawful purpose
• Misrepresent your identity or qualifications
• Interfere with or disrupt our services or servers
• Attempt to gain unauthorized access to any part of our systems
• Use automated means to access or collect data from our website
• Circumvent or attempt to circumvent our placement process

8. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE MAKE NO WARRANTIES REGARDING THE SUITABILITY OF ANY CANDIDATE OR THE OUTCOME OF ANY PLACEMENT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STELLARIS GROUP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OUR SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless Stellaris Group, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising out of your breach of these Terms or your use of our services.

11. Termination

We may suspend or terminate your access to our services at any time, with or without cause, and with or without notice. Upon termination, your right to use our services will immediately cease.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved through binding arbitration in New York, NY, in accordance with the rules of the American Arbitration Association.

13. Modifications

We reserve the right to modify these Terms at any time. Material changes will be posted on our website with an updated "Last Updated" date. Your continued use of our services after such modifications constitutes acceptance of the updated Terms.

14. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

15. Entire Agreement

These Terms, together with any applicable Service Agreements and our Privacy Policy, constitute the entire agreement between you and Stellaris Group regarding your use of our services.
